COLD SYSTEMS / TERMS

Terms of service
& refund policy

Published: October 26, 2026

These terms describe the conditions for using the business services and client email workspace provided by RUGA GTM LLC, operating as Cold Systems.

Payments are final and non-refundable except where mandatory law requires otherwise or a signed agreement expressly provides an exception. Your written engagement sets the scope, pricing, deliverables, and any specific service commitments.

1. How these terms apply

In these terms, “we” means RUGA GTM LLC, operating as Cold Systems, and “you” means the business engaging us or an authorized user of its workspace. You must have authority to act for that business.

These terms apply when they are supplied or incorporated into a proposal, order form, or service agreement that you accept. A signed agreement takes priority where its provisions conflict with this page. Publishing this page does not retroactively replace terms already agreed with an existing client, and visiting our website does not by itself create a paid engagement.

2. What an engagement can include

Our work can include go-to-market strategy, account and contact research, data enrichment and verification, outbound infrastructure, campaign messaging and execution, reply management, and revenue operations. An engagement may also include access to a Cold Systems-branded email workspace powered by EmailBison.

The work you purchase, delivery responsibilities, qualification criteria, schedule, and exclusions must be defined in the applicable written engagement. Examples on our website do not add deliverables to your scope.

3. Pricing, invoices, and third-party costs

Fees and payment dates are those stated in your accepted proposal, order form, or agreement. Setup charges, operating retainers, performance-based fees, and software or data costs apply only when agreed. If pricing depends on qualified leads or meetings, the chargeable event and qualification criteria must be agreed in writing before launch.

Domains, mailboxes, software subscriptions, verification, and data purchases can carry third-party charges. Such purchases and recurring costs require the authorization specified in the engagement. Overdue undisputed amounts may result in a service pause consistent with your agreement and applicable law. Renewals, late fees, and minimum terms require agreement in the engagement.

4. Our refund rule

All payments to Cold Systems are final and non-refundable, unless mandatory applicable law requires a refund or a signed agreement expressly states otherwise. This rule covers setup charges, retainers, agreed performance fees, and other approved service charges.

Services involve work and resource commitments such as research, infrastructure configuration, data preparation, message development, campaign operation, and response handling. Cancellation, a change of strategy, unused capacity, or a business result below expectations does not by itself create a refund entitlement.

If you believe a deliverable does not meet the agreed scope or qualification criteria, contact us with the relevant record and your reasons. We will assess it against the written engagement. Any correction, replacement, or credit follows the remedies agreed there; this page does not promise a particular replacement quantity or credit deadline. Nothing here removes a right or remedy that cannot lawfully be excluded.

5. Questions about charges

Send billing questions to aldo@ruga.to with the invoice or charge reference and an explanation of the issue. We may provide delivery records, approvals, and correspondence when responding to a payment dispute.

These terms do not waive lawful cardholder or payment-dispute rights. Any pause for non-payment or a disputed balance must be consistent with the engagement and applicable law.

6. Deliverables and business results

We are responsible for the work and specific commitments accepted in writing. Campaign performance also depends on the offer, audience, market conditions, mailbox providers, client approvals, and sales follow-up.

Unless expressly agreed, we do not promise a particular inbox-placement rate, reply volume, number of meetings, closed sales, or revenue result. A qualified lead or booked meeting is not a completed sale. Case studies describe past engagements and do not establish a guaranteed result for another client.

7. Client inputs and authorized sending

You are responsible for providing accurate business information, obtaining the rights to materials you supply, confirming the intended audience and offer, supplying relevant exclusions, and providing the approvals and follow-up assigned to you in the engagement.

You may connect only mailboxes, domains, accounts, and systems that you own or have permission to use. Workspace access must be limited to authorized people. Do not use the service for impersonation, phishing, malware, harassment, unlawful messaging, bypassing provider restrictions, or contacting people contrary to applicable opt-out requirements.

Both parties must meet the legal and provider obligations that apply to their activities. Hiring Cold Systems does not transfer away a client's legal responsibilities, and these terms do not transfer away ours. Clients must not resell access to the underlying EmailBison software as an independent product.

8. Data, mailbox permissions, and confidentiality

Our privacy policy explains how we handle website, service, and connected mailbox information. Google mailbox access requires the relevant account owner's authorization. Connecting an account does not give us unrestricted permission to use its contents for unrelated purposes.

Each party must protect the other's non-public information and use it for the engagement and permitted administrative, security, and legal purposes. Disclosure to authorized service providers and personnel must be limited to their role and applicable data restrictions. Confidentiality does not cover information lawfully public, independently developed, or lawfully received without a confidentiality restriction. Legally required disclosures remain subject to applicable safeguards.

9. Materials and ownership

Each party keeps its pre-existing data, brands, materials, methods, software, and other intellectual property. You give us the permission needed to use the materials and accounts you supply to perform the authorized work. Third-party software remains subject to its owner's rights and terms.

Ownership and permitted use of engagement deliverables are governed by your written agreement. Receiving a deliverable does not transfer ownership of our underlying methods or third-party software. We will obtain written permission before publishing identifiable client case-study information.

10. Providers, availability, and responsibility

Delivery may depend on services operated by EmailBison, Google, Microsoft, hosting providers, and other approved vendors. They can change features, limits, account access, or availability. We do not guarantee uninterrupted operation of third-party systems.

Any negotiated liability limits, warranties, exclusions, or indemnities are those in your written agreement, subject to mandatory legal rights and obligations.

11. Pausing or ending an engagement

Cancellation rights, notice periods, renewals, and termination charges follow the written engagement. Ending the service does not cancel amounts already owed for authorized work, delivered services, or approved committed costs. The refund rule in Section 4 remains subject to its stated exceptions.

We may restrict access or pause affected work where reasonably necessary to address unauthorized access, unlawful use, a material security issue, or a provider restriction. We will explain the reason and a resolution path when reasonably practicable. Data export, disconnection, and deletion requests are handled under the engagement, our privacy policy, and applicable law.

12. Updates to this page

We may revise these terms and update the publication date. A revised page does not automatically amend an existing signed engagement. Changes to an active engagement must follow its agreed amendment process and any required notice or acceptance.

13. Applicable law and disputes

Any agreed governing law, venue, and dispute-resolution procedure are those specified in your written agreement. If none is specified, those matters are determined under applicable law.
